These Terms of Use (“Terms”) govern your access to and use of all websites, applications, portals, dashboards, APIs, integrations, automations, and digital services operated by Viral Collab Inc. (“Viral Collab,” “we,” “our,” or “us”) (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms.

1. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction and legally capable of entering into binding agreements.

If you are using the Services on behalf of a company or entity, you represent that you have authority to bind that entity to these Terms.

2. Scope of Services

The Services may include, without limitation:

  • Creator management portals
  • Analytics dashboards
  • Campaign reporting systems
  • Software tools and microservices
  • API-based integrations
  • Website functionality

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3. Account Connections & OAuth Authorization

Certain Services allow connection to third-party platforms (including TikTok, YouTube/Google APIs, Meta platforms, and others) via official authorization mechanisms such as OAuth.

By authorizing access, you grant Viral Collab permission to access only the data scopes explicitly approved during authorization.

We do not request or store third-party platform passwords.

You may revoke authorization at any time through the relevant platform’s account settings.

4. Platform Data Use & Compliance

Platform-derived data is used strictly for legitimate internal business purposes including talent management, analytics, performance benchmarking, campaign reporting, and service optimization.

We do not sell, rent, license, broker, transfer, or commercially redistribute API-derived data.

Our Services are designed to comply with:

  • YouTube API Services Terms of Service
  • Google API Services User Data Policy (including Limited Use requirements)
  • TikTok for Developers Terms
  • Meta Platform Terms

Use of information received from Google APIs adheres to the Google API Services User Data Policy, including Limited Use requirements.

5. User Responsibilities

You agree not to:

  • Attempt unauthorized access to any Service
  • Reverse engineer or disrupt systems
  • Use the Services to violate applicable laws or platform policies
  • Exceed authorized API permissions
  • Misrepresent ownership or authorization rights

6. Intellectual Property

All software, systems, designs, algorithms, methodologies, and materials comprising the Services are owned by Viral Collab or its licensors and are protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.

7. Confidentiality

You agree to maintain confidentiality of any non-public features, analytics methodologies, internal reports, and proprietary systems accessed through the Services.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted availability, accuracy of analytics, or continued access to third-party APIs.

9. Limitation of Liability

To the fullest extent permitted by law, Viral Collab shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Our total aggregate liability arising out of or related to the Services shall not exceed the greater of (a) CAD $1,000 or (b) the amount paid to Viral Collab for the relevant Service in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Viral Collab and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your misuse of the Services
  • Your violation of third-party platform policies
  • Your infringement of any rights

11. Termination

We may suspend or terminate access immediately if:

  • You violate these Terms
  • Required by law or platform policy
  • Security risks arise

Provisions relating to intellectual property, liability, indemnification, confidentiality, and dispute resolution survive termination.

12. Dispute Resolution

For users located in the United States, disputes shall be resolved by binding arbitration administered in accordance with applicable arbitration rules, except where prohibited by law.

For users located in the European Union, mandatory consumer protection laws in your country of residence shall apply, and you may bring claims before the competent courts of your country of residence.

For all other users, disputes shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada.

13. Class Action Waiver (U.S. Users)

To the extent permitted by law, U.S. users agree to resolve disputes individually and waive participation in class actions or collective proceedings.

14. Force Majeure

We are not liable for delays or failures resulting from causes beyond our reasonable control, including platform outages, regulatory changes, or natural events.

15. Export Compliance

You agree not to use the Services in violation of export control laws or sanctions applicable in Canada, the United States, or the European Union.

16. Assignment

We may assign these Terms without restriction. You may not assign your rights without our prior written consent.

17. Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

18. Entire Agreement

These Terms constitute the entire agreement between you and Viral Collab regarding the Services.

19. No Waiver

Failure to enforce any provision shall not constitute a waiver.

20. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, except where mandatory consumer protection laws require otherwise.
